Terms of Service governing GoodAV media production, event staging, equipment hire, and AI Concierge consultations in Kigali, Rwanda.

1. Agreement to Terms & Corporate Entity

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether individually or representing an organization, company, or agency, hereinafter "Client") and GoodAV Ltd ("GoodAV," "we," "us," or "our"), a registered commercial enterprise headquartered in Kigali, Rwanda.

By accessing our website (https://goodav.net), utilizing our GoodAV AI Concierge, or engaging GoodAV for media production and event audiovisual services, you acknowledge and agree to be bound by these Terms.

2. Integrated Scope of Services

GoodAV delivers full-lifecycle media agency and audiovisual staging solutions across Rwanda and East Africa:

  1. Media Production: Commercials, corporate brand films, documentaries, 4K drone aerial cinematography (licensed by RCAA), editorial photography, audio voiceovers/podcasts, and post-production color grading.
  2. Event Staging & Broadcast: High-level summit staging, indoor/outdoor P2.6 and P3.9 LED video walls, line-array acoustics (JBL, d&b, RCF), intelligent moving-head lighting, simultaneous translation booths, and multi-camera 4K live streaming with bonded 5G and Starlink satellite dual-redundancy.
  3. Equipment Rental & Technical Direction: Broadcast dry/wet equipment hire, stage design, 3D venue mapping, and technical production management.

3. The AI Planning Concierge & Proposal Intake Workflow

A. Non-Binding Nature of Preliminary AI Consultations

  • Our interactive AI Concierge allows clients to explore packages, receive initial equipment recommendations, and place tentative dates on hold.
  • Truthful Transaction Framing: Automated exchanges with the AI Concierge do not constitute a finalized contract, automated ticket/travel purchase, or binding crew booking.
  • An inquiry only becomes an official booking request upon generation of a system Reference ID (e.g. `#BK-XXXXXXXX`), which is subsequently reviewed by our Senior Technical Director in Kigali for crew availability, technical feasibility, and venue clearance.

B. Complimentary 48-Hour Date Hold

  • When you draft a project with our AI Concierge, GoodAV places a complimentary, non-binding 48-hour tentative hold on our equipment and senior crew for your specified dates.
  • This hold expires automatically after 48 hours unless formalized through an accepted quotation, LPO, or deposit.

4. Quotations, Pricing & Payment Terms

A. Formal Quotations & Tax Compliance

  • All production quotes are delivered as itemized Bills of Quantities (BOQs).
  • Pursuant to Rwandan tax regulations, all local commercial transactions are invoiced with Rwanda Revenue Authority (RRA) Electronic Billing Machine (EBM) tax compliance.

B. Currency of Settlement

In compliance with National Bank of Rwanda (BNR) regulations:

  • Domestic Clients: All transactions between local entities in Rwanda are billed and settled in Rwandan Francs (RWF).
  • International Organizations & Cross-Border Partners: International agencies, UN bodies, NGOs, and global corporate partners may settle invoices in United States Dollars (USD) or RWF via direct wire transfer to our designated corporate banking accounts.

C. Standard Payment Milestones

Unless alternative terms are agreed upon in writing:

  1. Advance Deposit: A 50% advance payment or official Local Purchase Order (LPO) is required upon contract signing to permanently secure production dates, gear riders, and technical crew.
  2. Final Balance: The remaining 50% balance is payable upon completion of delivery for media productions (prior to master unwatermarked file release) or upon commencement/conclusion of live event staging.

5. Client Responsibilities, Venue Access & Permits

  • Site Surveys & Location Access: The Client agrees to grant GoodAV technicians and crew reasonable access to the venue prior to the event for load-in, acoustic calibration, and power testing.
  • Permits & Authorizations: While GoodAV maintains licensed drone pilots and standard equipment certifications, venue-specific staging access, VIP security badges, and municipal filming authorizations remain the joint responsibility of the Client and GoodAV.

6. Equipment Care & Safety

  • All equipment dispatched to client sites remains the exclusive property of GoodAV Ltd.
  • The Client provides a secure environment for installed gear during overnight staging periods. Any damage or theft resulting from gross client negligence or unmanaged crowd interference may be invoiced at current replacement cost.

7. Cancellation & Rescheduling Policy

Production dates in Kigali book weeks in advance. If a Client cancels an officially confirmed engagement:

  • 31+ Calendar Days Prior to First Date: 100% of advance payments may be credited toward rescheduled dates within 6 months.
  • 15 to 30 Calendar Days Prior: A 50% cancellation fee applies to compensate for reserved crew and gear holds.
  • Under 14 Calendar Days Prior: Advance deposits are non-refundable due to crew commitment and locked inventory.

8. Intellectual Property & Deliverable Licensing

  • Final Deliverables: Upon full settlement of all agreed fees, GoodAV grants the Client a perpetual, worldwide, non-exclusive license to broadcast, publish, and distribute final edited media deliverables across all corporate, commercial, broadcast, and social media channels.
  • Raw Footage & Project Files: Raw camera files (ProRes, B-roll, project files) are preserved in the GoodAV digital archive. Archival access and raw footage transfers may be arranged under a separate media transfer agreement.
  • Portfolio & Case Study Rights: GoodAV retains the right to display brief excerpts, project photos, and technical highlights in its professional portfolio, unless a formal Non-Disclosure Agreement (NDA) is executed prior to production.

9. Force Majeure & Limitation of Liability

  • Force Majeure: Neither party shall be held liable for failure to perform due to unforeseen events beyond reasonable control (natural disasters, severe weather grounding flights or outdoor shoots, state security mandates, or infrastructure grid blackouts). In such events, GoodAV will make all reasonable efforts to reschedule without penalty.
  • Liability Cap: GoodAV's total financial liability for any claim arising out of an engagement shall not exceed the total fees paid by the Client for the specific service in question.

10. Governing Law & Dispute Resolution

These Terms and any dispute arising from them shall be governed by and construed in accordance with the Laws of the Republic of Rwanda. The parties agree to seek amicable resolution through good-faith executive negotiation. Failing resolution within thirty (30) days, disputes shall be submitted to the competent commercial courts of Kigali, Rwanda.
